Marketplace Integrity Agreement

    What you agree to

    I have read, understand, and agree to the Smart REAI Terms of Service, Privacy Policy, Marketplace Integrity Policy, and Trust & Safety Guidelines.

    By accepting this Agreement, you agree to:

    • Provide accurate and complete information regarding your identity, professional role, purchasing ability, and funding capability.
    • Not impersonate a buyer, seller, lender, or authorized representative of any party.
    • Not submit false credentials, fraudulent documentation, or materially misleading information.
    • Not misuse another user’s deals, contacts, or private transaction information.
    • Comply with Smart REAI’s verification, reporting, investigation, and enforcement procedures.

    Full Agreement

    1. Accuracy of Representations

    You represent and warrant that all information you submit to the platform — including but not limited to property addresses, ownership interests, contract status, purchase price, assignment fee, repair estimates, after-repair value, occupancy status, proof of funds, and lending capacity — is true, accurate, complete, and not misleading in any material respect at the time of submission, and that you will promptly correct any information that later becomes inaccurate.

    2. Equitable Interest & Authority to Market

    You represent and warrant that you will not market, blast, list, or otherwise distribute any property unless you hold a valid, enforceable equitable interest under a fully executed purchase and sale agreement, or you are the record owner, or you hold express written authorization from the party who does. You acknowledge that marketing property in which you hold no interest may constitute the unlicensed practice of real estate brokerage under applicable state law.

    3. Prohibition on Unauthorized Distribution

    Deal information, seller and listing agent contact details, buyer lists, and any non-public materials accessed through the platform are provided to you for your own evaluation only. You shall not copy, forward, syndicate, resell, re-blast, or otherwise distribute such information to third parties, and you shall not participate in daisy-chain assignments or undisclosed multi-party markups.

    4. Proof of Funds & Capacity to Close

    If you present yourself as a cash buyer, private lender, hard money lender, transactional funder, or earnest money deposit funder, you represent and warrant that you possess, or have committed access to, the funds you represent, and that any proof-of-funds documentation you supply is authentic, current, and unaltered.

    5. Performance of Funding Commitments

    Funding commitments made through the platform are binding obligations between you and the counterparty. Failure to repay funded capital, failure to return earnest money deposits when contractually required, or failure to fund after issuing a written commitment may result in enforcement action up to and including permanent removal from the platform.

    6. Prohibition on Fraudulent or Deceptive Practices

    You shall not engage in any fraudulent, deceptive, or materially misleading conduct, including the use of fabricated listings, fabricated photographs, fabricated identities, stolen or synthetic credentials, duplicate or pseudonymous accounts created to evade enforcement, or misrepresentation of your role, licensure, or affiliation.

    7. Compliance With Law

    You shall comply with all applicable federal, state, and local laws and regulations, including without limitation real estate licensing statutes, wholesaling disclosure statutes, fair housing laws, the Telephone Consumer Protection Act, CAN-SPAM, and all applicable anti-fraud and consumer protection statutes.

    8. Cooperation With Compliance Review

    You agree to respond in good faith and within seven (7) calendar days to any request for information issued by Smart REAI compliance in connection with a submitted report. Failure to respond may be treated as non-cooperation and weighed in the determination.

    9. Enforcement

    You acknowledge that Smart REAI may, in its sole discretion and following review, issue a compliance notice, revoke verification status, impose temporary transactional restrictions, suspend your account, or permanently remove you from the platform. Determinations are administrative in nature and are not judicial findings of liability.

    10. Acknowledgement

    By accepting this Agreement you acknowledge that you have read and understood the Platform Disclaimer, that your acceptance is recorded with a timestamp and device identifier, and that this Agreement applies to all activity conducted through your account.

    Enforcement

    1. Compliance Notice

    A written, non-punitive notice advising the account holder of a potential violation and the corrective action required.

    2. Formal Warning

    A recorded warning placed on the account file. Repeat conduct escalates automatically.

    3. Verification Revoked

    The verification badge is removed and the account is displayed as unverified pending re-application.

    4. Temporary Restriction

    Time-limited suspension of specific privileges, such as blasting deals, submitting offers, or accessing contact information.

    5. Account Suspension

    Full suspension of platform access for a defined period pending resolution.

    6. Permanent Removal

    Irrevocable termination of platform access. Reserved for fraud, funding default without cure, or repeated substantiated violations.

    Verification

    Verification requires (i) government-issued photo identification, (ii) evidence of business formation or licensure where applicable, and (iii) proof of funds or lending capacity for buyers, lenders, and funders. Documents are stored in a private, access-restricted repository and are reviewed only by Smart REAI compliance personnel. Verification reflects documentation submitted at a point in time and is not a guarantee of performance.

    Reporting a Violation

    Reports are submitted confidentially to Smart REAI compliance. Reports are never published, and the identity of the reporting party is not disclosed to the reported party without your written consent. Unverified allegations are not displayed on any public profile. Knowingly filing a false or retaliatory report is itself a violation of the Marketplace Integrity Agreement and is subject to the same enforcement ladder.

    Platform Disclaimer

    Smart REAI operates solely as a technology platform that facilitates communication between independent real estate professionals. Smart REAI is not a party to, and assumes no responsibility for, any agreement, transaction, assignment, loan, or disbursement of funds arranged between users. Smart REAI is not a real estate brokerage, mortgage broker, licensed lender, title company, escrow agent, or law firm, and nothing on this platform constitutes legal, tax, financial, or investment advice. All users are solely responsible for conducting their own due diligence and for retaining qualified counsel prior to entering into any transaction. Verification badges reflect documentation submitted to Smart REAI at a point in time and do not constitute a guarantee, endorsement, warranty, or assurance of any user’s performance, solvency, licensure, or fitness to transact.
